LocalVIP Terms of Service

Effective Date: May 1, 2025

These Terms of Service (“Terms”) govern your access to and use of the services provided by LocalVIP, LLC (“LocalVIP,” “we,” “us,” or “our”), including all websites, subpages, subdomains, campaigns, and applications we operate. This includes, without limitation:

  • LocalVIP.com (including /business, /vip, and all related landing pages)

  • CommunityGiveBackWeek.org

  • FreeMe.com

  • Our mobile applications on the Apple App Store and Google Play Store

  • All associated referral tools, campaigns, features, and services (collectively, the “Services”)

By using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.


 

 1. Acceptance of Terms

These Terms form a legally binding agreement between you (“you” or “User”) and LocalVIP, LLC and apply to your use of the Services described above.

By using the Services, you confirm that:

  • You are at least 18 years old and a U.S. resident;

  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy;

  • All information you provide is accurate and will remain current;

  • You will comply with all applicable laws and these Terms.

If you do not agree to any part of these Terms, you may not access or use the Services.

We may update these Terms at our sole discretion. When we do, we will revise the “Last Updated” date and may notify you through the app, website, or email as appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Certain features—such as referral tracking, campaign participation, and business tools—may require registration and eligibility verification. Access levels may vary depending on whether you are an individual user (“Hero”) or a business participant.

2. Modifications to Terms and Services

We may modify, suspend, or discontinue any part of the Services at any time without liability. This includes changes to features, campaigns, rewards, account access, or system performance.

These Terms may also be updated periodically. When changes are made:

  • We’ll post the revised version with a new effective date;
  • You may receive additional notice for material changes;
  • Updates take effect immediately unless stated otherwise.

Your continued use of the Services after any changes indicates your acceptance. If you disagree with the revised Terms, your sole option is to stop using the Services and deactivate your account.

You are responsible for reviewing these Terms regularly. Some modifications may be made for legal, operational, or security reasons and may not include prior notice.

To avoid confusion, we maintain only one active version of these Terms. Older versions are superseded by the latest posted Terms

 

3. Eligibility and Account Registration

To use key features of LocalVIP, you must meet all eligibility requirements and register an account.

3.1 Eligibility

You may use the Services if:

  • You are at least 18 years old;
  • You reside in the United States;
  • You have a valid U.S. email and phone number (non-VoIP);
  • You can legally enter into contracts.

If you are acting on behalf of a business, you must be authorized to bind that business to these Terms.

3.2 Account Registration

To access referral features, reward tracking, and business tools, you must register and provide:

  • Your name, city, email, and a secure password (for individual users);
  • Business name, location, contact details, and campaign preferences (for businesses).

You agree to keep your account information accurate and secure. Each person or business may maintain only one account unless explicitly authorized.

3.3 Account Security

You are responsible for all activity under your account. Use a strong password, do not share login credentials, and report any unauthorized access to support@localvip.com.

3.4 Account Verification

We may request verification documents before approving certain activities such as redemptions or referral payouts. Refusal to verify identity may limit your access to features.

4. Description of the Services

LocalVIP is a digital platform that connects communities through local commerce. It empowers individuals and businesses to promote offers, track referrals, and earn rewards by growing their network. The Services are available through our mobile app, website, and QR code-based tools.

The platform provides:

  • Cashback deals and exclusive local offers;
  • A 10-level referral system for tracking and earning from network activity;
  • Campaigns like Community Give Back Week that benefit users and schools;
  • Dashboards for both individuals and businesses to monitor rewards and referrals.

Each user, regardless of role, is an affiliate—meaning they can invite anyone (Heroes, Businesses, Schools, Referral Partners, or Launch Team Partners) into their personal Level 1 network. This creates a shared economic structure that’s transparent, traceable, and mutually rewarding.

Access to certain features (like rewards, campaigns, or business tools) depends on your role and activity level. QR code scanning is used for offer redemptions, referral tracking, and event participation.

LocalVIP may add, remove, or update features over time to improve the user experience. We do not guarantee uninterrupted service or the availability of specific offers or rewards.

Availability Notice:

LocalVIP makes no guarantee of uninterrupted service or availability of specific features, campaigns, or offers. Businesses and users should not rely solely on LocalVIP for critical time-sensitive promotions. Scheduled maintenance, technical failures, or changes in partnerships may affect platform functionality without prior notice.


5. Use of the Services

By using LocalVIP, you agree to engage honestly, respectfully, and lawfully.

5.1 Acceptable Use

You must not:

  • Create fake accounts or referrals;
  • Abuse QR codes or referral links;
  • Misrepresent your identity, role, or campaign participation;
  • Use bots, scripts, or automated tools to simulate activity.

You may maintain only one account unless explicitly approved. Referral invitations must be respectful, relevant, and compliant with our Terms.

5.2 Account Security

You are responsible for all activity under your account. Keep your password secure. Do not share your login with others. Notify us at support@localvip.com if you suspect unauthorized use.

5.3 Modifications and Enforcement

We may update platform features or policies at any time. Accounts may be suspended or terminated for violating these Terms. Fraudulent actions—including manipulating referral levels—will result in forfeited rewards and permanent removal.

6. User Roles and Affiliate Structure

Every LocalVIP user is both a platform participant and an affiliate—able to invite new users of any type directly into their personal Level 1 referral tree.

6.1 Heroes (Individuals)

Heroes redeem offers, earn cash back, and refer others. They can:

  • Invite anyone to LocalVIP, including businesses or schools;
  • Earn rewards from activity within their 10-level referral tree;
  • View first name, last initial, and city of users in their network.

Heroes must not use spam tactics or false referrals.

6.2 Businesses

Businesses use LocalVIP to create local visibility and run rewards-based campaigns. They can:

  • List offers, participate in Give Back Week, and gain referrals;
  • Invite other businesses, schools, or individuals into their Level 1;
  • View business names in their referral structure (no contact info is shared).

Businesses are expected to honor all listed offers and maintain accurate listings.

6.3 Other Affiliates

Schools, Referral Partners, and Launch Team members also use the same structure. Regardless of role, all users:

  • Share the same 10-level referral tree system;
  • Build their own network starting with direct Level 1 invites;
  • Earn and contribute to community-based campaigns.

Abuse of the referral model (e.g., creating fake trees or looping roles) will result in suspension and removal from LocalVIP.

7. Referral Structure and Visibility

LocalVIP operates a transparent, 10-level referral system. Every user—whether a Hero, Business, School, Referral Partner, or Launch Team member—is an affiliate. When you invite someone using your unique QR code or referral link, they are permanently placed into your Level 1.

Each new user you directly invite becomes part of your Referral Tree, and you benefit from qualifying actions across up to 10 levels of downline activity.

Referral visibility is limited for privacy:

  • Heroes see first name, last initial, and city of users in their tree.
  • Businesses see only the business names of other businesses in their structure.
  • No one can view contact details, payment info, or personal data of others.

You may not:

  • Attempt to change your upline;
  • Engage in self-referrals;
  • Create fake accounts to inflate your tree;
  • Use bots or mass sign-up strategies.

Referral abuse results in suspension and forfeiture of rewards. All referral relationships are final and maintained by our internal systems. You are solely responsible for the activity of users you invite.

8. Rewards, Offers, and Redemption Rules

LocalVIP enables users to access exclusive offers and earn cash through two mechanisms: cashback (when offered by a business) and bonus cash (from the 10% platform fee shared across the referral network).

8.1 Offers and Cashback

Businesses may choose to offer either:

  • Cashback, where a portion of your purchase is returned to your wallet; or
  • A deal or discount, where your bill is lowered instantly.

Only transactions that include cashback offers result in a direct cashback payout. If the offer is a discount, you benefit by saving money on the spot, but no cashback is earned.

To activate any offer, you must pay through the LocalVIP app.

8.2 Bonus Cash from Referrals

A 10% LocalVIP fee is applied to most transactions. When this fee is charged:

  • 50% of it is distributed automatically across the 10-level referral tree above the user who made the transaction.
  • Everyone in the referral chain earns a portion of that fee—regardless of whether the original offer included cashback or a discount.

If a customer was registered directly by the business, this 10% fee does not apply, and no bonus cash is earned by their upline.

8.3 Payouts and Conditions

You can request payout once your balance meets the minimum threshold shown in the app. All redemptions and bonuses are processed within the platform.

There are no other reward types outside cashback and referral-based bonus cash. Any attempt to manipulate activity or simulate transactions will result in loss of earnings and permanent account suspension.

8.4 Reward Revocation for Violations:

LocalVIP reserves the right to withhold, revoke, or reclaim previously earned rewards, including cashback and referral bonuses, in cases where a user is found to have violated these Terms, engaged in fraudulent activity, manipulated referral data, or otherwise abused the platform. This applies even if the rewards were already earned, pending, or reflected in your account balance at the time of the violation.

Some features within LocalVIP—including reward validations, QR redemptions, and proximity-based notifications—require location services to be enabled. Disabling location access may limit or prevent access to certain rewards or campaign features. You acknowledge that location-based restrictions are necessary for fraud prevention and fair campaign participation.

9. Acceptable Use and Code of Conduct

LocalVIP is built on trust, transparency, and community collaboration. You agree to use the Services ethically and lawfully.

9.1 Permitted Conduct

You must:

  • Use only your own account and credentials;
  • Promote your referral link responsibly (no spam or coercion);
  • Respect others in your communications and reviews;
  • Engage authentically in campaigns and redemptions.

9.2 Prohibited Conduct

You may not:

  • Impersonate any person or misrepresent your affiliation;
  • Create fake users or engage in circular/self-referrals;
  • Post misleading, discriminatory, or harmful content;
  • Interfere with system security or platform functionality;
  • Abuse visibility tools for cold messaging or harassment.

Automated sign-ups, bulk messaging, or unauthorized promotions are strictly prohibited.

9.3 Enforcement

Violations may result in:

  • Account suspension or termination;
  • Removal of rewards or referral visibility;
  • Legal action where applicable.

Reports of abuse can be submitted to support@localvip.com. We may investigate and take action to protect the integrity of the platform and its users.

10. Communications and Notifications

By using LocalVIP, you consent to receive communications from us related to your account, referrals, campaigns, and platform updates. These may be delivered via:

  • Email
  • In-app messages
  • SMS (only if you opt in)

Messages may include:

  • Promotional offers
  • Reward updates
  • Account or system alerts
  • Legal notices or policy updates

You can manage notification preferences in your account settings. However, certain essential communications—like security alerts or terms updates—may still be sent regardless of preferences.

We will never share your contact information with third parties without your consent. For full details on how we handle your data, please review our Privacy Policy.

11. Account Suspension and Termination

We may suspend, restrict, or permanently terminate your account at our discretion if:

  • You violate these Terms;
  • You engage in fraudulent, abusive, or deceptive activity;
  • Your account remains inactive for 12+ months;
  • We receive a legal or regulatory request to do so.

Termination includes loss of access to:

  • Your referral network
  • Unredeemed rewards
  • Ongoing campaigns or business listings

You may also close your account at any time by contacting support@localvip.com. Upon termination, we may retain limited data for audit, legal, or security purposes, as permitted by law.

Misuse of referral tools, unauthorized access attempts, or repeated violations may result in permanent removal from the platform and loss of all associated benefits.

Appeals may be submitted to our support team for review, but decisions are final at LocalVIP’s discretion.

Inactive Account Funds:

If your account remains inactive for more than 12 consecutive months, LocalVIP may close your account and remove access to unredeemed rewards or bonus balances. These balances are considered promotional credits and not legal tender. In jurisdictions where unclaimed property laws apply, we will comply with all legal requirements for reporting or transferring dormant balances to state authorities.

12. Privacy and Data Use

Your privacy matters. LocalVIP collects and processes your personal and business data in accordance with our Privacy Policy. By using the Services, you consent to these practices.

We collect data such as:

  • Contact and login information;
  • Referral activity;
  • Redemption history and participation metrics;
  • Device and location information (if permitted).

Data is used to:

  • Operate the referral and rewards system;
  • Improve campaigns and user experience;
  • Prevent fraud and maintain security;
  • Communicate with you about your account and offers.

We do not sell or share your personal information with unaffiliated third parties without your consent, except where required by law or for essential service operation (e.g., payment processing).

You have rights to access, update, or request deletion of your data, subject to identity verification. Some data may be retained to meet legal or financial obligations.

13. Disclaimers

LocalVIP is provided “as is” and “as available.” While we work to deliver a reliable experience, we do not guarantee uninterrupted access, error-free functionality, or the availability of any specific offer.

We are not responsible for:

  • Variations in pricing, availability, or fulfillment of offers listed by businesses;
  • Delays, payment issues, or disruptions caused by third-party services (e.g., Stripe or device manufacturers);
  • Earnings or results you may expect from referrals or usage;
  • Any financial or personal decisions made in reliance on information provided in the app.

LocalVIP does not endorse or guarantee the products, services, or performance of any participating business. All transactions are between you and the business. Cashback amounts and referral earnings are calculated automatically based on platform rules and are subject to verification.

By using the Services, you acknowledge that To the fullest extent permitted by law, LocalVIP is a digital tool to connect users and businesses through verified transactions, and your use is at your own risk.

14. Limitation of Liability

To the fullest extent permitted by law, LocalVIP and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.

This includes but is not limited to:

  • Lost earnings or referral bonuses;
  • Missed or incorrect cashback calculations;
  • Service outages, bugs, or offer fulfillment issues;
  • Loss of access due to account suspension or inactivity.

LocalVIP’s total liability to you for any claim will not exceed $100 or the amount you have earned through the platform in the past 12 months, whichever is greater.

These limitations apply even if any remedy fails its essential purpose. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LocalVIP, its owners, employees, affiliates, and service providers from any claims, losses, liabilities, damages, or expenses arising from:

  • Your violation of these Terms;
  • Misuse of your referral link or attempt to manipulate the referral system;
  • False or misleading information provided during account setup or use;
  • Any legal dispute between you and a business or third party using the platform.

This includes legal fees and costs incurred in defending any claim related to your actions or omissions on the platform.

LocalVIP reserves the right to assume exclusive legal defense for any matter otherwise subject to your indemnification, at your expense. You may not settle any claim without written consent from LocalVIP.

These obligations survive the termination or suspension of your account.

16. Termination and Suspension

You may close your LocalVIP account at any time by contacting support@localvip.com or using the in-app support feature. Once closed:

  • You will lose access to any active offers or pending payouts;
  • Your referral position and visibility in the 10-level tree are permanently removed;
  • Any unused balance may be forfeited if not redeemed before closure.

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms;
  • You attempt to manipulate the referral or payment system;
  • Your account remains inactive (no logins, payments, or referrals) for 12 months;
  • We are required to do so by law, court order, or platform policy.

Termination includes immediate loss of access to the app, any promotional tools, and all associated earnings, including referral visibility and bonus eligibility.

Some user data may be retained post-termination as required by law, tax reporting, fraud monitoring, or internal audit.

17. Intellectual Property and License Grant

All content and software within the LocalVIP platform—including branding, app functionality, promotional materials, and the referral system design—are the intellectual property of LocalVIP, LLC or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the app and related Services solely for personal use within the United States.

You may not:

  • Copy, modify, or redistribute platform content;
  • Reverse-engineer or tamper with any part of the app;
  • Use LocalVIP’s name, branding, or content without prior written permission.

All trademarks, logos, and business names used within the app remain the property of their respective owners. Submitting feedback grants us the right to use it without restriction or compensation.

18. User Content and Community Standards

Users may share feedback, business information, comments, and other content within the app (e.g., reviews, suggestions, or promotion details). This is considered User Content and is subject to moderation.

By submitting content, you affirm that:

  • You have the right to share it;
  • It does not violate any law or third-party rights;
  • It does not contain misleading, harmful, or inappropriate material.

You retain ownership of your content but grant LocalVIP a non-exclusive, royalty-free license to use, display, and distribute it in connection with the platform. We may use content for marketing, feedback loops, or service improvement.

We reserve the right to remove or restrict access to any content that violates our Terms or community guidelines, without notice.

By submitting content or participating in campaigns, you grant LocalVIP the right to use your first name, last initial, city, referral achievements, submitted media, or public reviews in connection with platform marketing, promotional campaigns, or community updates. You agree that no additional approval or compensation is required for such use.

If you encounter content that violates these standards, report it to support@localvip.com.

19. Suspension and Termination of Access

LocalVIP may suspend, limit, or terminate your access to the platform at any time, with or without prior notice, if:

  • You violate these Terms;
  • You engage in fraud, self-referrals, or artificial transaction behavior;
  • You provide false information during registration or support inquiries;
  • Your account remains inactive for over 12 consecutive months;
  • Your behavior puts the platform, partners, or users at legal or operational risk.

Suspension or termination may include:

  • Loss of access to the app and your account dashboard;
  • Removal of offer redemptions and referral visibility;
  • Forfeiture of unpaid bonus or cashback earnings;
  • Permanent deletion of your referral position.

You may also request voluntary account termination at support@localvip.com. Some data may be retained as required by law or for security, tax, or compliance purposes.

20. Dispute Resolution and Arbitration Agreement

We encourage you to contact support@localvip.com before pursuing legal action so we can try to resolve any issues informally.

If a resolution cannot be reached, all legal disputes between you and LocalVIP will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). This applies to any claim related to your use of the Services, rewards, or these Terms.

You and LocalVIP agree:

  • No class actions: You may only bring claims in an individual capacity.
  • Arbitration will take place in your U.S. county of residence.
  • LocalVIP will cover AAA fees for claims under $10,000, unless the claim is found to be frivolous.

This section survives account closure or termination. You may opt out of arbitration within 30 days of accepting these Terms by emailing support@localvip.com with the subject line: Arbitration Opt-Out.

21. Limitation of Liability

To the fullest extent permitted by law, LocalVIP and its affiliates will not be liable for:

  • Indirect, incidental, or consequential damages;
  • Loss of referral earnings, cashback, or transaction history;
  • System outages, data loss, or offer inaccuracies;
  • Delays or disruptions caused by third-party services (e.g., Stripe).

Maximum liability: LocalVIP’s total cumulative liability for any claim will not exceed $100 or the amount you’ve earned through the platform in the 12 months before the issue occurred—whichever is greater.

These limitations apply regardless of the legal theory involved, even if LocalVIP was informed of the potential for such damages. Some jurisdictions do not allow certain limitations, in which case these terms apply to the fullest extent legally permitted.

22. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law rules or principles.

By using LocalVIP, you agree that any disputes, claims, or actions related to the Services or these Terms will be resolved in accordance with Delaware law—except where preempted by federal law or limited by mandatory consumer protections in your state of residence.

This governing law applies regardless of your location, role (Hero, Business, School, etc.), or method of access (mobile app, website).
